CheckStream End User License Agreement (EULA)

1. Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and CheckStream ("Company," "we," "us," or "our") for the use of the CheckStream software application and related services ("Service" or "Software").

By accessing, downloading, installing, or using CheckStream, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, do not use the Service.

2. Grant of License

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use CheckStream solely for your internal business purposes in accordance with:

  • The terms of this Agreement
  • Your selected subscription plan
  • Our Privacy Policy and Terms of Service

3. Restrictions on Use

You may NOT:

  • Copy, modify, distribute, sell, or lease any part of the Service
  • Reverse engineer, decompile, or disassemble the Software
  • Use the Service for any unlawful purpose or in violation of applicable laws
  • Access the Service through automated means (bots, scrapers, etc.) except as expressly permitted
  • Share your account credentials with unauthorized users
  • Use the Service to process fraudulent or stolen checks
  • Attempt to gain unauthorized access to our systems or other users' data
  • Remove, alter, or obscure any proprietary notices or labels on the Software

4. User Obligations

You agree to:

  • Provide accurate and complete information when creating your account
  • Maintain the security of your login credentials
  • Use the Service only for legitimate business purposes
  • Comply with all applicable laws regarding financial data processing
  • Ensure you have proper authorization to process all uploaded check images
  • Maintain backup copies of your important data
  • Promptly notify us of any unauthorized use of your account

5. Data and Privacy

5.1 Your Data

You retain ownership of all check images, payment data, and other content you upload to CheckStream ("Your Data"). You grant us a limited license to process Your Data solely to provide the Service.

5.2 Data Processing

We process Your Data in accordance with our Privacy Policy. You acknowledge that:

  • Check images may be temporarily stored for processing purposes
  • Extracted data is used to create payment records in your QuickBooks account
  • We implement industry-standard security measures to protect Your Data
  • You are responsible for compliance with applicable data protection laws

5.3 Data Deletion

Upon termination of your account, we will delete Your Data within 30 days, except as required by law or for legitimate business purposes.

6. QuickBooks Integration

6.1 Third-Party Service

CheckStream integrates with QuickBooks Online, a third-party service owned by Intuit Inc. Your use of QuickBooks is subject to Intuit's terms and conditions.

6.2 Authorization

You must provide proper authorization for CheckStream to access your QuickBooks account. You may revoke this authorization at any time through your QuickBooks settings.

6.3 Data Accuracy

While we strive for accuracy, you are responsible for reviewing all payment records created in QuickBooks before finalizing them.

7. Subscription and Payment

7.1 Subscription Plans

CheckStream offers various subscription plans with different usage limits and features. Your rights are limited to your selected plan.

7.2 Payment Terms

  • Subscription fees are billed in advance
  • Free trial periods may be offered at our discretion
  • Usage overages may result in additional charges
  • All fees are non-refundable except as required by law

7.3 Changes to Pricing

We may modify subscription prices with 30 days' written notice. Changes will take effect at your next billing cycle.

8. Intellectual Property

8.1 Our Rights

CheckStream, including all software, algorithms, user interfaces, and related materials, is protected by copyright, trademark, and other intellectual property laws. We retain all rights not expressly granted to you.

8.2 Feedback

If you provide feedback, suggestions, or ideas about CheckStream, you grant us the right to use such feedback without compensation or attribution.

9. Disclaimers and Limitations

9.1 Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service is provided "as is" and "as available."

9.2 Accuracy Disclaimer

While our AI technology is highly accurate, we do not guarantee 100% accuracy in check data extraction. You are responsible for reviewing all extracted data before use.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR DATA LOSS, BUSINESS INTERRUPTION, OR FINANCIAL LOSSES RESULTING FROM SERVICE USE

9.4 Force Majeure

We are not liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, government actions, or third-party service failures.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of this Agreement
  • Your violation of any third-party rights
  • Any fraudulent or illegal activity associated with your account

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting our support team or through your account settings.

11.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate this Agreement
  • Fail to pay applicable fees
  • Engage in fraudulent or illegal activities
  • Pose a security risk to our systems or other users

11.3 Effect of Termination

Upon termination:

  • Your license to use CheckStream immediately ends
  • We will delete Your Data within 30 days
  • Outstanding fees remain due and payable
  • Provisions that should survive termination will continue to apply

12. Updates and Modifications

12.1 Software Updates

We may update CheckStream to improve functionality, security, or compliance. Updates may be installed automatically.

12.2 Agreement Changes

We may modify this Agreement at any time by posting the updated version on our website. Continued use of the Service constitutes acceptance of the modified terms.

13. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of North Carolina, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Wake County, North Carolina.

14. Entire Agreement

This Agreement, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and CheckStream regarding use of the Service.

15. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
